Corporate Paralegal

Role and Responsibilities: As a Corporate Paralegal, you will be an essential part of our legal team, supporting our 2 attorneys, 1 paralegal, and 1 administrator. Your responsibilities will encompass a diverse range of legal tasks and duties, including but not limited to the following:
Job Summary:
Provides legal assistance on a broad range of legal and corporate governance issues. Resolves routine legal issues utilizing previous experience and judgment with an expected wide degree of creativity and latitude to plan and accomplish goals.
Primary Responsibilities:
Working closely with legal counsel, provides paralegal support on a broad range of topics, including: (a) board of directors support and corporate governance matters; (b) draft and edit legal documents; (c) strategic initiatives and corporate transactions; (d) subsidiary maintenance and governance; (e) physical and electronic document management; and (d) other corporate matters that arise from time to time related to mergers and acquisitions, corporate finance, state corporate law issues and other similar matters.
2. Along with legal counsel, supports contract administration activities including assisting in the preparation sales and purchase contracts, negotiate contract terms with internal and external partners, review and update existing contracts, and assist the commercial team with a wide range of legal and compliance issues.
3. Provides paralegal support for corporate transactions and subsidiary governance matters, including drafting agreements, resolutions and other documents, assisting with closings, and coordinating efforts with internal and external constituents as necessary.
4. Provides paralegal support for company attorneys on insurance and administrative claims and other litigation matters.
5. Review basic external vendor agreements for the purchase of general, IT and other goods and services on behalf various departments within the company such as. Procurement, Human Resources, Operations, etc.
6. Assists with administrative support to the department as necessary, including filing, record-keeping, document preparation, and other similar matters.
7. Communicates with all levels of other departments and respond to inquiries concerning corporate structure and governance.
8. As necessary, conducts legal research and analysis on a broad range of issues.
9. Assists in preparation of various legal reports and updates.
10. Investigates and gathers information, documentation and business records.
11. Prepares discovery responses and internal requests for engineering information.
12. Updates case information, and assists with settlement and litigation hold.
13. Maintains the confidentiality of all information processed.
Performs related duties as assigned. Regular and consistent attendance is required.

Work Environment:

Job Qualifications:
REQUIRED: An associate’s degree or a certificate in Paralegal studies certificate from a program that has been approved by the ABA or an equivalent combination of education and experience. Zero to three years of experience as a Paralegal, preferably in a corporate environment, law firm or corporate executive level related experience. Must have the ability to take on substantive work with limited supervision and possess demonstrated ability to work independently on a variety of projects and tasks. Requires high degree of confidentiality and ability to work independently. Proficient with Microsoft Office Suite. Very strong keyboarding skills.
PREFERRED: Experience working in a legal department, law firm or C-suite of a corporation.
